Process

Our Process Begins with Appraisal

Make informed decisions by understanding the value of your publishing business for:

• Tax Planning
• Estate planning
• Financial restructuring
• Anticipating selling or buying

Following an appraisal, Gauger Media Service, Inc. helps you identify exactly what you’re selling and — in collaboration with your CPA — what sale parameters best fit your personal and professional needs.

Gauger Media Services then:

Collects and collates data from which the buyer can effectively identify what he is buying and from which he can conduct his evaluation.

Develops a logical selling strategy in concert with your accountant. GMS helps develop a selling strategy that interfaces price and terms with your goals and marketplace reality.

Prepares an Information Memorandum containing: (1) market and publication profiles including detailed personnel summary; (2) financial profile including a three-year history of income statements and adjusted cash flow/add-backs.

Takes you into market — introducing your publishing business to pre-screened prospects who are required to execute a Non-disclosure Agreement prior to receiving the Information Memorandum.  Among other limits, this NDA prohibits buyer prospects from contacting employees, customer and vendors.

Negotiates transaction details — working closely with your accountant and attorney through successful consummation of the transaction.
